NCM5 Pre-Order Agreement

Effective Date: October 24th 2025

This Pre-Order Agreement (“Agreement”) is a binding contract between you (“Customer,” “you,” or “your”) and Dossa Tech LLC (“Company,” “we,” “us,” or “our”) governing your pre-order of the NCM5 Neurocaligraph Device (the “NCM5” or “Device”).

By placing a pre-order for the NCM5, you acknowledge and agree to the terms below. You may not place a pre-order unless you affirmatively check the box or otherwise indicate acceptance of this Agreement.

 


1. Pre-Order Payment

1.1 Deposit. When you place a pre-order, your payment method will be charged immediately for a non-refundable deposit.

1.2 Remaining Balance. The full purchase price, less the deposit already paid, will be automatically charged to your payment method when the Device is prepared for shipment. By placing a pre-order, you authorize the Company to charge the remaining balance at that time.

 


2. Estimated Delivery

2.1 Shipping Window. The Company will provide an estimated shipping window for your order. You acknowledge that this is an estimate only and may change due to supply chain, manufacturing, or regulatory delays.

2.2 Delays. If shipment is delayed beyond the estimated window, you may cancel your pre-order; however, the deposit will be forfeited.

2.3 No Guarantee. Pre-ordering does not guarantee delivery. If production or regulatory approvals are halted, the Company may cancel pre-orders at its discretion. Deposits remain non-refundable in such cases.

 


3. Cancellations

3.1 Customer Cancellation. You may cancel your pre-order at any time before shipment. If you cancel, the deposit will be forfeited, and any balance not yet charged will not be collected.

3.2 Company Cancellation. The Company may cancel pre-orders for any reason, including but not limited to supply constraints, compliance requirements, or business decisions. Deposits remain non-refundable.

 


4. Returns and Refunds

4.1 Final Sale. Once shipped, all sales are final. The Device may be returned to the Company, but no refunds will be provided under any circumstances.

4.2 Warranty Returns. Devices returned under the 30-day limited warranty (see Section 5) will be eligible only for repair or replacement, at the Company’s discretion.

4.3 Shipping Costs. The customer is responsible for all return shipping costs. For warranty-approved claims, the Company will cover outbound shipping of the repaired or replacement unit but not inbound shipping.

 


5. Warranty

Pre-ordered Devices are covered by the same 30-day limited warranty described in the Terms and Conditions of Sale and Use for the NCM5:

  • Covers manufacturing defects only.

  • Excludes misuse, damage, accidents, or unauthorized modifications.

  • Remedy is limited to repair or replacement, at the Company’s discretion.

  • Warranty claims must be submitted through the Company’s RMA process.


6. Terms and Conditions of Sale and Use

Upon shipment and delivery of the NCM5, the full Terms and Conditions of Sale and Use for the NCM5 will apply in addition to this Agreement. By pre-ordering, you acknowledge that you have reviewed and agree to those Terms.

 


7. Universal Applicability

This Agreement applies to all pre-orders, regardless of where they are placed — including directly through the Company’s website, in person, or through third-party distributors, resellers, or partners.

 


8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles.

  • All disputes arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in San Luis Obispo County, California.

  • You consent to the jurisdiction of such courts and waive any objection to venue.


9. Acknowledgment

By placing a pre-order for the NCM5, you acknowledge that you have read, understood, and agree to this Pre-Order Agreement, including:

  • immediate charge of a non-refundable deposit,

  • automatic balance payment at shipment,

  • forfeiture of deposit if canceled,

  • no refunds after purchase,

  • warranty limited to 30 days for manufacturing defects, and

  • disputes governed by California law in San Luis Obispo County.
